Jocelyn R. Esguerra-Dee

Ms. Esguerra-Dee specializes in corporate law, banking and securities. She has extensive background in transactions involving (a) lending and financing arrangements, (b) securities registration, listing and compliance requirements, and (c) registration and compliance with banking laws and regulations. She has also participated in the documentation of certain mergers and acquisitions that involved corporations, such as Siemens, Inc., Nestle Philippines, Inc., Asea Brown Boveri, Inc., and Euro RSCG. She gives legal advice to foreign entities intending to invest or do business in the Philippines and assists in organizing the legal vehicle through which the investment shall be undertaken. She also renders corporate housekeeping services and assistance in the preparation and assessment of corporate governance rules, sitting as Director and Corporate Secretary in the Board of Directors of certain Philippine corporations. She has made representations, on behalf of clients, with government regulatory agencies such as the Securities and Exchange Commission, Philippine Stock Exchange, Bangko Sentral ng Pilipinas, and Insurance Commission. Ms. Esguerra-Dee is a member of UP Women Lawyers’ Circle, Federacion Internationale des Abogadas, and Association of Bank Lawyers of the Philippines. She was admitted to the Philippine Bar in 1999. She received her Bachelor of Laws degree from the University of the Philippines and her Bachelor of Arts in Philosophy from the same University, graduating cum laude.
